End User License Agreement
NAD Electronics, a division of Lenbrook Industries Limited’s International division (“NAD”), provides this NAD Software (comprising the embedded software in your NAD product, including updates, and any desktop or handheld application components) and accompanying documentation. By using this software, you are granted a non-exclusive, non-transferable, non-sublicensable, royalty-free limited license for operating your NAD product and its related desktop or handheld applications on personal computers or handheld devices owned or controlled by you. The NAD Software must not be transferred to other computing devices, and you may not remove it from your NAD product. You acknowledge the responsibility to comply with U.S. and international copyright laws concerning the NAD Software.
Modification, adaptation, translation, reverse engineering, decompilation, or disassembly of the NAD Software or the NAD product, in whole or in part, is prohibited, except as expressly provided in this agreement or upon written request from NAD. Transfer or disclosure of the NAD Software, online documentation, or any developed program to a third party requires NAD’s prior written approval. The NAD product must be used solely as outlined in the online documentation.
NAD and its suppliers retain all worldwide intellectual property rights in the NAD Software, with all other rights reserved by NAD.
TERMINATION
The license is effective until terminated. Failure to comply with the license terms results in automatic termination without notice. Upon termination, you must cease using the NAD Software, destroy it, and delete all copies. No recourse against NAD is available upon termination.
COMPLIANCE WITH COPYRIGHT LAWS
You recognize NAD’s ownership of copyrights, trade secrets, and intellectual property related to your NAD product, NAD Software, and accompanying documentation. You agree to comply with U.S. and international copyright laws and indemnify NAD and its licensors for any claims arising from your failure to comply.
THIRD PARTY CONTENT AND TECHNOLOGIES
NAD may provide access to third-party content and support certain third-party technologies. NAD reserves the right to discontinue access or support at any time. NAD is not responsible for third-party services, technologies, or related materials.
GD3 DATA NOTICE
If the NAD Software contains functionality from GD3 Data, you must comply with the GD3 Software License Agreement available at http://www.getdigitaldata.com. Non-compliance results in immediate license termination.
SPOTIFY LICENSING
Certain NAD products include Spotify software subject to third-party licenses at https://developer.spotify.com/esdk-third-party-licenses.
DISCLAIMER OF WARRANTIES
The NAD Software and related services are provided “As Is” without warranty. NAD does not guarantee uninterrupted or error-free operation, correction of defects, or compatibility with third-party software. You assume all risks.
LIMITATION OF LIABILITY
NAD and its suppliers are not liable for personal injury or any damages. Some jurisdictions may not allow certain limitations, but NAD’s total liability is limited to the amount paid for your NAD product or US$500, whichever is less. These limitations apply even if advised of the possibility of damages.
CONTROLLING LAW AND SEVERABILITY
This License is governed by the laws of the Province of Ontario, excluding the United Nations Conventions on Contracts for the International Sale of Goods. If any provision is found unenforceable, the remaining terms remain in effect.
By using the NAD Software, you acknowledge reading, understanding, and agreeing to this agreement, considering it the complete statement between you and NAD, superseding any prior agreements.
